Terms of Service

The terms on which businesses use Jethro HR and this website. Where a customer has signed a separate agreement with us, that agreement takes precedence.

Draft — pending legal review.These terms are a working draft. They are not yet final and must be reviewed by our legal counsel before they are relied on. Text in highlighted brackets, such as [Registered company name], is still to be filled in.

1. About these terms

These Terms of Service (“Terms”) are an agreement between [Registered company name] (“Jethro”, “we”, “us”), and the business that signs up for or uses Jethro HR (“Customer”, “you”). The person who accepts these Terms confirms that they are authorised to bind the Customer. These Terms are an electronic record under the Information Technology Act, 2000 and do not need a physical or digital signature.

Jethro HR is offered to businesses only. It is not meant for personal or household use.

2. Accounts and access

  • You decide who in your organisation gets access and what role each person has. You are responsible for everything done through your users’ accounts.
  • Keep sign-in details confidential, use multi-factor sign-in where we offer it, and tell us at once at info@jethro.in if you suspect unauthorised access.
  • Your employees may use the self-service parts of Jethro HR under your account. You are responsible for telling them how their data is used, as section 6 explains.

3. Subscriptions, trials and fees

  • Fees, the plan, the modules included and the billing period are set out in your order or in the plan you choose in the product.
  • If we offer a free trial, its length and limits are shown when you sign up (currently 3 days, up to 25 employees, no bank or statutory filing files). At the end of a trial the organisation is switched off automatically; we keep its data for 30 days so a paid plan can continue from where you left off, after which it is deleted.
  • Fees are exclusive of GST and other applicable taxes, which are charged in addition. We issue tax invoices as Indian law requires.
  • Unless your order says otherwise, fees are payable in advance for each billing period and are not refundable for a partly used period. If an invoice remains unpaid [number] days after it is due, we may suspend access after giving you notice.
  • We may change our prices for future billing periods by giving you at least [number] days’ notice.

4. Agents and your approval

Jethro HR includes software agents that prepare work for you — for example payroll checks, statutory filing files and answers to employee questions. You agree that:

  • Actions that change records, move money or file with an authority wait for approval by a person you have authorised. You choose who can approve, and you are responsible for the decisions your approvers make.
  • Agents can make mistakes. Review what they prepare before you approve it, just as you would review the work of a colleague.
  • Agent answers to employees are based on the policies you publish in Jethro HR. Keep those policies accurate and current.
  • Every agent action and approval is recorded in an audit log that you can review and export.

5. Statutory work and your responsibility

Jethro HR helps you calculate payroll and prepare statutory returns such as Provident Fund, ESI, Professional Tax, Labour Welfare Fund and TDS. We work to keep statutory rates current and show the official source for each rate. However:

  • You remain the employer and the deductor. Responsibility for paying wages, depositing contributions and taxes, and filing returns with the authorities on time stays with you.
  • Jethro prepares files and reminders; a person in your organisation files them on the government portals and records the acknowledgement. We do not hold your portal passwords, digital signature certificates or one-time passwords.
  • Jethro HR does not give legal, tax or accounting advice. Where a rate or rule is marked as not yet verified, confirm it with your advisor before you rely on it.

6. Your data

  • Ownership. You own the data you and your employees put into Jethro HR (“Customer Data”). You give us the right to process it only to provide, secure and support the service, and as you instruct.
  • Data protection. For personal data in Customer Data, you are the Data Fiduciary and we are your Data Processor under the Digital Personal Data Protection Act, 2023. You are responsible for having a lawful basis, giving notices to your employees and handling their requests; we will help you do so. Our Privacy Policy and our data processing terms [link to DPA] explain how we handle it.
  • Export and deletion. You can export your Customer Data during the subscription. After the subscription ends, you have [number] days to export it, after which we delete it, except where Indian law requires us to keep it.
  • Usage information. We may use information about how the service is used, in a form that does not identify you or any individual, to keep it secure and improve it.

7. Acceptable use

You will not, and will not allow anyone to:

  • use Jethro HR for anything unlawful, or to process personal data without a lawful basis;
  • upload malware, try to break or bypass security, probe the service for vulnerabilities without our written permission, or put an unreasonable load on it;
  • copy, resell, rent or sublicense the service, or use it to build a competing product;
  • reverse engineer the service, except to the extent the law allows it despite this restriction;
  • use the agents to make decisions about people that the law does not allow to be made without human involvement.

8. Intellectual property

We own Jethro HR, its software, agents, designs, documentation and the Jethro name and logo. These Terms give you a non-exclusive, non-transferable right to use the service during your subscription for your internal business purposes. If you send us suggestions, we may use them without obligation to you.

9. Confidentiality

Each of us will keep the other’s confidential information secret, use it only for the purpose of these Terms and share it only with people who need to know it and are bound by similar duties. This does not apply to information that is public, already known, independently developed or that must be disclosed by law (with notice to the other party where the law allows).

10. Availability and support

We work to keep Jethro HR available and to fix problems promptly. Planned maintenance will be announced in advance where possible. Service levels and support hours, if agreed, are set out in your order [link to service levels].

11. Suspension and termination

  • Your subscription runs for the period in your order and renews for the same period unless either of us gives notice before renewal.
  • We may suspend access if you breach section 7, if fees remain unpaid after notice, or if we must do so to protect the service or comply with law. We will restore access once the reason is resolved.
  • Either of us may end these Terms if the other materially breaches them and does not fix the breach within [number] days of written notice.
  • Sections 6, 8, 9, 12, 13, 14 and 15 continue after these Terms end.

12. Warranties and disclaimers

We will provide the service with reasonable skill and care. Apart from that, and to the extent the law allows, the service is provided “as is”, and we do not promise that it will be error-free or uninterrupted, or that agent output will always be correct.

13. Limitation of liability

To the extent the law allows, neither of us is liable for indirect or consequential loss, loss of profit, revenue or goodwill. Each party’s total liability under these Terms is limited to [the fees paid by the Customer in the 12 months before the claim]. These limits do not apply to your payment obligations, a breach of section 7, or liability that cannot be limited by law.

14. Indemnity

You will defend and compensate us against third-party claims arising from Customer Data you had no right to process or from your breach of section 7. We will defend and compensate you against third-party claims that the service, as we provide it, infringes their intellectual property rights in India.

15. Governing law and disputes

These Terms are governed by the laws of India. We will first try to resolve any dispute through good-faith discussion. If it is not resolved within [30] days, it will be referred to arbitration under the Arbitration and Conciliation Act, 1996 by a sole arbitrator, seated in [city], in English. Subject to this, the courts at [city] have exclusive jurisdiction.

16. General

  • We may update these Terms. We will give customers at least [number] days’ notice of material changes, by email or in the product.
  • Neither of us is responsible for delays caused by events beyond reasonable control.
  • You may not transfer these Terms without our written consent; we may transfer them to a successor business.
  • If any part of these Terms is found unenforceable, the rest continues to apply.
  • These Terms, together with your order and our data processing terms, are the whole agreement between us about the service.
